Intellectual property developed during client projects (including patents, designs, and technical documentation) remains the property of the client, provided all dues are cleared and a confidentiality or IP transfer agreement is executed. EuProximaX retains the right to reference anonymized project outcomes for portfolio or educational purposes, unless restricted under a signed NDA.
4. 4. Confidentiality
   Both parties agree to maintain confidentiality regarding all proprietary information, data, and materials exchanged during a project. A separate NDA will be signed before any confidential discussion or project initiation.
5. 5. Client Responsibilities
   Clients agree to provide accurate, complete, and lawful information required for project execution. They ensure that submitted ideas, inventions, or materials do not infringe upon third-party intellectual property. Clients must review and approve deliverables within the agreed timeframe to prevent project delays.
6. 6. Payment and Fees
   Fees for services are outlined in individual quotations or project agreements. All payments must be made as per the agreed milestone schedule. Delayed payments may result in suspension of work or withholding of deliverables. Taxes, government levies, and transaction charges shall be borne by the client unless specified otherwise.
7. 7. Deliverables and Timelines
   EuProximaX will make every reasonable effort to deliver services and documentation within agreed timelines. However, delays caused by external dependencies, client inaction, or unforeseen technical issues shall not constitute a breach of contract.
8. 8. Limitation of Liability
   EuProximaX shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use of our services or deliverables. This includes rejection, delay, or modification of patent, trademark, or regulatory submissions by third-party authorities.
9. 9. Data Protection and Privacy
   EuProximaX follows strict data protection policies. Client data, project information, and personal details are stored securely and used solely for project execution. We do not sell, share, or distribute any client data without explicit consent, except as required by law.
10. 10. Third-Party Tools and Collaborations
    Some projects may involve third-party vendors, developers, or laboratories. EuProximaX ensures confidentiality and contractual compliance with such partners, but cannot be held responsible for errors or delays caused by external entities beyond our control.
11. 11. Warranties and Disclaimers
    All services are provided “as is” without any warranty of completeness, accuracy, or fitness for a specific purpose. EuProximaX does not guarantee commercial success, patent approval, or regulatory clearance of any concept or prototype developed through our services.
12. 12. Termination
    Either party may terminate the project agreement by giving written notice of at least 15 days. Upon termination, all pending invoices shall be settled immediately. EuProximaX will deliver all completed or in-progress documents up to the termination date. Any advance payments for unexecuted stages may be refunded or adjusted, subject to mutual agreement.
13. 13. Governing Law and Jurisdiction
    These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
14. 14. Updates to Terms
